Alloy Business definition

Alloy Business means any business operated by Alloy and its Affiliates as of and subsequent to the Effective Date.

Alloy Business means (i) the businesses of providing targeted media and promotional programs for advertisers who want primarily to market to Generation Y through the use of, among other methods, print media, display media boards, database marketing, websites, promotional events, and on-campus marketing programs to reach Generation Y consumers, among others, and all other businesses conducted by the Alloy Group as of the date hereof, other than the Merchandising Business, (ii) the business of providing retail or merchandising services on behalf of third parties to the extent such services are offered as a component of a targeted media or promotional program of a type described in clause (i) above, and (iii) any business or entity acquired or established by or for Alloy or xXXxX*s or any of their respective Subsidiaries between the date of this Agreement and the close of business on the Distribution Date that is engaged in, or intends to engage in, any business that is of a type or nature that would have resulted in such business being a Subsidiary included in, or an asset of, the Alloy Group.

  • Any software license costs specifically related to the Alloy Business or Merchandising Business shall be borne by the Alloy Group or the xXXxX*s Group, respectively.
