Agreed Standard definition

Agreed Standard means, with respect to any determination regarding CAT Events made by any Person at any time, that such Person made such determination reasonably and in good faith and after taking into account all relevant information reasonably available, including available industry loss estimates from reliable sources, the Company’s own estimates and modeling with respect to losses arising out of such CAT Events (or the Company’s representations regarding such estimates and modeling, as applicable), the amount of time that has passed since the occurrence of such CAT Events and relevant historical experience regarding events that were similar to such CAT Events.
Agreed Standard means the minimum extent of removal, environmental remediation and/or other action that is required to prevent, at the lowest possible cost, any relevant Material Site Conditions from materially impeding, impairing or interfering with the Purchaser’s construction or operation of the Plant;
Agreed Standard means that with respect to the Warranties which are subject to this standard the Seller (i) has verified such Warranties based on the relevant information actually reported to it, in particular through existing reporting lines for compliance, legal and accounting purposes, and (ii) has duly inquired the persons listed in part 1 of Exhibit 12.2.1 (c) who have confirmed to have in turn duly inquired those certain other individuals of the Target Companies listed in part 2 of Exhibit 12.2.1 (c) ("Agreed Standard Persons"); the Purchaser is aware and acknowledges that the Seller has not undertaken any further investigations for purposes of verifying the Warranties which are subject to this standard.

More Definitions of Agreed Standard

Agreed Standard means what (i) (in respect of clauses 13.2.3 and 13.2.4) is necessary to achieve compliance with Environmental Law or (in respect of clause 13.2.5) what would be necessary to achieve compliance with Environmental Law if remedial and clean up action was required to be carried out by the relevant competent authority or court of competent jurisdiction pursuant to Environmental Law, in each case to the extent of what is or would be so necessary to allow the relevant Property to be used for the same business purposes as at the Completion Date and for the same dominant and ancillary uses as at the Completion Date (dominant and ancillary use to be interpreted as in relation to the Town and Country Planning Act 1990), and in each case in as cost effective a manner as is possible in the circumstances and (ii) causes as little interference with the business of the Company as is reasonable in the circumstances, having regard in particular to cost.
