Agreed Model definition

Agreed Model shall have the meaning provided in the EPC Contract.
Agreed Model means the model delivered to Goldman Sachs on September 19, 2017 (together with any updates or modifications thereto reasonably agreed between the Borrower and Goldman Sachs).
Agreed Model shall have the meaning set forth in the VIF Calculation Principles.

Agreed Model has the meaning set forth in Schedule A hereto. “Assumed 355(e) Percentage” means the aggregate of the percentage changes that are, in accordance with the Agreed Model, Assumed Relevant.   • Model shall refer to a particular brand of Vehicle sold by an OEM (e.g., Taurus, Tahoe, Grand Caravan).

  • Value Engineering means the detailed analysis of systems, equipment, materials, services, facilities, and supplies required by the Contract Documents for the purpose of achieving the desired and essential functions of the Owner’s program at the lowest cost consistent with required and necessary performance, longevity, reliability, quality and safety.

  • BOM means Board of Management.

  • Base Case Model means the financial model and statements including profit and loss, balance sheet and financial projections reflecting the forecasted consolidated financial conditions of the Group for the term of this Agreement (for these purposes assuming both before and after the incurrence of the indebtedness under the Finance Documents), each in form and substance satisfactory to the Finance Parties addressed to, and/or capable of being relied upon by the Finance Parties.

  • Contract Schedule The list (as such list may be amended from time to time) identifying each Contract constituting part of the corpus of the Trust Fund as of the Cut-off Date, and which (a) identifies each Contract as either a Fixed Rate Contract or Adjustable Rate Contract and by contract number and name and address of the Obligor and (b) sets forth as to each Contract (i) the unpaid principal balance as of the related Transfer Date determined by giving effect to payments received prior to the related Transfer Date, (ii) the amount of each scheduled payment due from the Obligor, and (iii) the APR.

  • Master Meter means the meter controlled by the licensed distributor and used for settlement of the master bill with the master consumer;

  • Using shall have the meaning as defined in the Master Agreement.

  • Sponsor Model means the Sponsor’s financial model, dated June 26, 2018, used in connection with the syndication of the Credit Facility.

  • Baseline Schedule means the initial time schedule prepared by Contractor for Owner’s information and acceptance that conveys Contractor’s and Subcontractors’ activities (including coordination and review activities required in the Contract Documents to be performed by A/E and ODR), durations, and sequence of work related to the entire Project to the extent required by the Contract Documents. The schedule clearly demonstrates the critical path of activities, durations and necessary predecessor conditions that drive the end date of the schedule. The Baseline Schedule shall not exceed the time limit current under the Contract Documents.

  • Implementation Schedule means the Implementation Schedule in Section VII of the tendering documents.

  • Manufactured/mobile home means either a manufactured home or a mobile home;

  • Xxxxxx Xxx Guides The Xxxxxx Xxx Xxxxxxx' Guide and the Xxxxxx Xxx Servicers' Guide and all amendments or additions thereto.

  • Fabrication means making up data or results and recording or reporting them.

  • Methodology As defined in Section 3 of this Exposure Protection Schedule. Obligations – All of Carrier’s obligations under the Agreement and any Other Signatory Agreements whether now existing or hereafter arising, whether now existing or hereafter arising (including any of the foregoing obligations that arise prior to or after any Insolvency Event and any obligations arising pursuant to this Exposure Protection Schedule).

  • Base Case Financial Model means a financial model prepared by the Borrower forecasting the revenues and expenditures of the Project for time periods through the Final Maturity Date and based upon assumptions and methodology provided by the Borrower and acceptable to the TIFIA Lender as of the Effective Date, which model shall be provided to the TIFIA Lender as a fully functional Microsoft Excel – based financial model or such other format requested by the TIFIA Lender.
