Agilent Field definition

Agilent Field means the design, development, research, manufacture, supply, distribution, sale, support (including consulting and other services), and maintenance of any products that are: (a) within the Agilent Primary Field; (b) within the Agilent Overlap Field; (c) listed in the Agilent CPL as of the Separation Date, and reasonable extensions thereof; or, (d) outside of the Verigy Primary Field. For the avoidance of doubt, the Agilent Field excludes any products that are within the Verigy Primary Field unless specifically listed in (a-c) of this definition.
Agilent Field means the design, development, research, manufacture, supply, distribution, sale (directly or through third parties), support (including consulting, repair, upgrade, calibration and other services), and maintenance (including the supply of components (including integrated circuits, subassemblies, accessories, parts, or software (including firmware, programs and applications)) of any products that are: (a) within the Agilent Primary Field; or (b) within the Overlap Field; or (c) outside of the Keysight Primary Field. For the avoidance of doubt, the Agilent Field excludes any products that are within the Keysight Primary Field unless those products are within the Agilent Primary Field or Overlap Field.
Agilent Field means analysis of biological processes in research and development and clinical trial support outside of the fields of [***].

Examples of Agilent Field in a sentence

  • Under its and their Database Rights constituting Licensed Verigy IPR, to extract data from the databases included therein and to re-utilize such data (and Improvements thereof prepared by or on behalf of Agilent) solely to design, develop, manufacture and have manufactured (subject to Section 4.2), sell and support Agilent Products in the Agilent Field.

  • Under its and their Trade Secrets and Industrial Designs constituting Licensed Verigy IPR (and Improvements thereof prepared by or on behalf of Agilent) solely to design, develop, manufacture and have manufactured (subject to Section 4.2), sell and maintain Agilent Products in the Agilent Field.

  • Without limiting the generality of the foregoing licenses granted in this Section 4.1, with respect to software included within the Business Technology, such licenses include the right to use, modify, and reproduce such software, in source code and object code form, (and Improvements thereof made by or on behalf of Agilent or its Subsidiaries) to create Agilent Products solely in the Agilent Field and to sell and maintain such software as part of such Agilent Products.

  • No right under the Rosetta Technology is hereby granted to Agilent to develop, market, offer for sale and sell oligo set design methods and techniques applicable to Oligo Set Design Services outside the Agilent Field.

  • For the avoidance of doubt, a product that is within the Agilent Field shall not be considered to be within the Verigy Primary Field for the purposes of Section 9.1(a)(i) above.

  • Rosetta represents that it has not heretofore granted, and during the Term shall not grant, any other licenses in, to and under the Rosetta Technology that would grant the licensee the right to market, distribute, offer for sale, sell or support Resolver except within the Excluded Field or except outside the Agilent Field.

Agilent Field means the analysis of biological processes in research and development.
Agilent Field means the design, development, research, manufacture, supply, distribution, sale, support (including consulting and other services), and maintenance of any products that are either: (a) listed in the Agilent CPL as of the Closing Date (subject to the limitations set forth in the definition of CPL), and reasonable extensions thereof; or (b) outside of the Purchaser Field.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.

  • Licensed Services means all functions performed by the Licensed System.

  • Exclusive Territory means (1) the states of Illinois, Wisconsin, and Indiana; and
