Aggregate Initial Merger Consideration definition

Aggregate Initial Merger Consideration means an amount equal to the sum of the following: (a) the Aggregate Merger Consideration; minus (b) the Expense Reserve Amount; minus (c) the Purchase Price Adjustment Escrow Amount.
Aggregate Initial Merger Consideration means 17,325,000 Parent Common Shares.
Aggregate Initial Merger Consideration is defined in Section 1.4(c)(ii).

  • If the Final Adjustment Amount is negative (in which case the “Final Adjustment Amount” for purposes of this clause (ii) shall be deemed to be equal to the absolute value of such amount) and the absolute value thereof is equal to or greater than $250,000, the Aggregate Initial Merger Consideration shall be adjusted downwards in an amount equal to the Final Adjustment Amount, and Parent shall be entitled to receive such Final Adjustment Amount.
