Aggregate Exercise Amount definition

Aggregate Exercise Amount means the aggregate per share exercise price of all of the Vested Company Options (including, for the avoidance of doubt, any Vested Company Options that are Vested Substitute Options), in each case outstanding immediately prior to the First Effective Time.

Aggregate Exercise Amount means the sum, without duplication, of the aggregate dollar amount that would be received by the Company in respect of the exercise price upon the full exercise (and not any net exercise) by all of the Optionholders of all vested Options outstanding immediately prior to the Closing.

Aggregate Exercise Amount means the aggregate exercise price of all Company Options outstanding as of immediately prior to the Effective Time, as set forth on the Estimated Closing Statement.

Examples of Aggregate Exercise Amount in a sentence

• For each notice of exercise of a warrant, in the event that shares are not delivered by the third business day (inclusive of the day of exercise), a fee of $2,000 per day will be assessed for each day after the third business day (inclusive of the day of exercise) until share delivery is made; and such fee will be added to the Aggregate Exercise Amount of the Warrant (under the Investor’s and the Issuer’s expectations that any penalty amounts will tack back to the Initial Issue Date of the Warrant).

• Upon each occurrence of any other event of default enumerated in Section 1.11 above, the Investor may asses and apply a fee against the Issuer of $25,000 at any time any Aggregate Exercise Amount remains outstanding on this Warrant, regardless of whether such event of default has been cured or remedied.

• If the Company closes on the Private Placement, the Exercise Price shall be reduced and only reduced to equal the Reset Price and consequently the number of Warrant Shares issuable hereunder shall be increased such that the Aggregate Exercise Amount hereunder, after taking into account the decrease in the Exercise Price, shall be equal to the Aggregate Exercise Amount prior to such adjustment.

• If the Company closes on the Public Offering, the Exercise Price shall be reduced and only reduced to equal the Reset Price and consequently the number of Warrant Shares issuable hereunder shall be increased such that the Aggregate Exercise Amount hereunder, after taking into account the decrease in the Exercise Price, shall be equal to the Aggregate Exercise Amount prior to such adjustment.

• The parties agree that the fee shall be added to the Aggregate Exercise Amount of the Warrant and shall tack back to the Initial Issue Date of the Warrant for purposes of Rule 144.

More Definitions of Aggregate Exercise Amount

Aggregate Exercise Amount means the aggregate dollar amount payable to the Company as purchase price for the exercise of all Outstanding Options and Outstanding Warrants.

Aggregate Exercise Amount means an amount equal to the aggregate exercise price of all Vested Options.

Aggregate Exercise Amount means the aggregate dollar amount payable to the Company as purchase price for the exercise of unexercised Company Stock Options that are outstanding immediately prior to the Effective Time.

Aggregate Exercise Amount means the amount represented by the aggregate exercise prices of all In-the-Money Stock Options outstanding and exercisable immediately prior to the Effective Time (or which become exercisable as a result of the consummation of the transactions contemplated hereby), which aggregate exercise price for each such In-the-Money Stock Option shall be equal to the product of (i) the number of shares of Company Common Stock represented by such In-the-Money Stock Option multiplied by (ii) the exercise price per share for such In-the-Money Stock Option, and which amounts shall have been used in computing the Company Option-Based Merger Consideration pursuant to Section 1.20.
