Aggregate Common Stock Consideration definition

Aggregate Common Stock Consideration means the product of the Merger Consideration and the number of Shares issued and outstanding immediately prior to the Effective Time (other than Shares to be cancelled in accordance with Section 2.01(a)(ii)).
Aggregate Common Stock Consideration means the product of the Merger Consideration and the number of Shares issued and outstanding immediately prior to the Effective Time (other than Excluded Shares).

Aggregate Common Stock Consideration means a number of shares of Acquiror Common Stock (deemed to have a value of ten dollars ($10) per share) with an aggregate implied value equal to the Consideration Cap minus the aggregate implied value of the Aggregate Preferred Stock Consideration.

The quotient, 0.5608, is the Exchange Ratio.
Aggregate Common Stock Consideration means 841,804 shares of Parent Common Stock, subject to adjustment as set forth in Section 2.3(g)(v).
