Placement Agent Warrants In connection with our sale of Series A preferred stock and 8% senior subordinated unsecured convertible notes in 2012 and 2013, we issued to a placement agent warrants to purchase 62,500 shares of common stock at an exercise price of $16.00 per share (the “Placement Agent Warrants”).
These Placement Agent Warrants include a cashless exercise provision and have substantially the same terms as the Series A Preferred Warrants.
The Agent Warrants will be in the form attached hereto as Attachment A.
The Company covenants that the certificates representing the Agent Warrants will, among other things, include provisions for the appropriate adjustment in the class, number and price of the Agent Units issued upon exercise of the Agent Warrants upon the occurrence of certain events, including any subdivision, consolidation or reclassification of the Common Shares and the payment of stock dividends with respect thereto.
In addition to the Commission, the Company agrees to issue and deliver to the Agents that number of non-transferable warrants (each, an “Agent Warrant” and collectively, the “Agent Warrants”) as is equal to 8.0% of the Special Warrants sold under the Offering, with the exception of Special Warrants sold to Purchasers included in the President’s List which shall be subject to a reduced number of Agent Warrants equal to 4.0% of the Special Warrants sold to Purchasers included in the President’s List.
