Adverse Market Conditions definition

Adverse Market Conditions means the existence of market and/or economic conditions which make the construction of the Project and sale of condominium units economically disadvantageous to Developer in the good faith judgment of Developer (e.g., market and/or economic conditions that Developer expects will result in the sale of condominium units at a slower frequency of unit sales and/or at sales price points lower than originally projected by Developer at the time of Closing).
Adverse Market Conditions conditions of the market for recovered or recycled materials or products in which on reasonable grounds the Operator of the Scheme considers it uneconomic or impractical to acquire such materials or products in connection with the performance of the Member’s Recovery and Recycling Obligations as are not already within the ownership and control of the Operator of the Scheme “Agency” Northern Ireland Environment Agency or successor body from time to time.
Adverse Market Conditions means that credit conditions are sufficiently adverse that Bosa would be unable to secure conventional construction financing for the Project in an amount equal to or greater than seventy percent (70%) of the cost of construction, at interest rates that do not exceed the then London Interbank Offer Rate (LIBOR) plus five percent (5%) per annum, and on other terms that are commercially reasonable.

  • Adverse impact on visibility means visibility impairment which interferes with the management, protection, preservation or enjoyment of the visi- tor’s visual experience of the Federal Class I area. This determination must be made on a case-by-case basis taking into account the geographic extent, in- tensity, duration, frequency and time of visibility impairment, and how these factors correlate with (1) times of vis- itor use of the Federal Class I area, and(2) the frequency and timing of natural conditions that reduce visibility.

  • Poor foundation conditions means those areas where features exist which indicate that a natural or man-induced event may result in inadequate foundation support for the structural components of an SWLF unit.

  • Environmental and Social Management Framework or “ESMF” means an instrument satisfactory to the Association, prepared and adopted by the Recipient and dated February 5, 2010 outlining the process for management of the environmental and social aspects of the Project as the same may be amended from time to time with the Association’s prior written concurrence.
