Adjusted Conversion Rate definition

Adjusted Conversion Rate means, for each share of Series S Junior Preferred Stock, that number of shares of Common Stock determined by reference to the Initial Conversion Rate (as adjusted pursuant to Section II(d), as applicable) multiplied by an amount equal to one less a fraction, the numerator of which is 200,000,000 and the denominator of which is the Initial Conversion Rate in effect on the Closing Date (without adjustment pursuant to Section II(d)) multiplied by the number of shares of Series S Junior Preferred Stock then outstanding, the amount resulting from such calculation being rounded, if necessary, to the nearest one ten-thousandth, with five one-hundred thousandths rounded upwards.
Adjusted Conversion Rate means, for each share of Series A Preferred Stock, the sum of (i) the Conversion Rate plus (ii) the quotient obtained by dividing the Accrued Dividends with respect to such share of Series A Preferred Stock by the Conversion Price.
Adjusted Conversion Rate means (i) the liquidation amount per share of Designated Preferred Stock divided by (ii) the weighted average price at which the shares of common equity securities were sold or the price implied by the conversion of securities into common equity securities in all Applicable Transactions (if any), subject to the anti-dilution provisions set forth in Appendix A.

More Definitions of Adjusted Conversion Rate

Adjusted Conversion Rate means the Base Conversion Rate, as adjusted pursuant to paragraph 9, as applicable. “Applicable Amount” shall have the meaning set forth in paragraph 5(a)(ii) hereof.
Adjusted Conversion Rate means the product of (A) the Conversion Rate in effect immediately prior to the date of the Subsidiary Distribution and (B) 1.04.
