  • In addition, the Lead Selling Agent shall indemnify, hold harmless and defend the Additional Selling Agent (and any controlling person) for any loss, liability, claim, damage or expense incurred by the Additional Selling Agent arising from any breach of this Agreement by the Lead Selling Agent.

  • The remuneration payable to the Additional Selling Agent on transactions based on the net asset value of Units is set out in the attached Schedule I.

  • The Lead Selling Agent may transfer and assign any agreement with an Additional Selling Agent only with the prior express written consent of the Additional Selling Agent that is a party to that agreement and of the Managing Owner.

  • In connection with the offer, sale and distribution of the Units, the Additional Selling Agent represents and warrants that it will comply fully with all applicable laws and regulations, and the rules, policy statements and interpretations of the NASD, the SEC, the CFTC, state securities administrators and any other regulatory or self-regulatory body.

  • Additional Servicer Each affiliate of each Servicer that services any of the Mortgage Loans and each Person who is not an affiliate of the any Servicer, who services 10% or more of the Mortgage Loans.   • Purchaser Affiliate means any affiliate of the Purchaser, including a transferee who is an affiliate of the Purchaser, and any person who controls the Purchaser or any affiliate of the Purchaser within the meaning of Section 15 of the Securities Act or Section 20 of the Exchange Act; and

  • Initial Servicer means CarMax.

  • CUSA has the meaning specified in the recital of parties to this Agreement.

  • Initial Purchase Price has the meaning set forth in Section 2.1.

  • Controlling Note Holder Representative shall have the meaning assigned to such term in Section 6(a).

  • Final Purchase Price has the meaning set forth in Section 2.02.
