  • It is my opinion that the Plan Shares and Additional Plan Shares, when subsequently issued and outstanding pursuant to the terms of the 2000 Plan, will be validly issued, fully paid and nonassessable.

  • We have examined originals or copies, certified or otherwise identified to our satisfaction, of such documents, corporate records, certificates of public officials and other instruments relating to the issuance of the Plan Shares and the Additional Plan Shares as we have deemed necessary for the purpose of this opinion.

  • Based upon and subject to the foregoing, and subject to the qualifications set forth below, we are of the opinion that the Additional Plan Shares under the Amended 2018 Plan have been duly authorized for issuance and, when issued, delivered and paid for in accordance with the terms of the Amended 2018 Plan, will be validly issued, fully paid and nonassessable.

  • If however, the Company issues Additional Plan Shares, the Company shall issue a proportional number of additional Company Shares to the Sellers or their designees.

Related to Additional Plan Shares

  • Additional Common Shares means all common stock (including reissued shares) issued (or deemed to be issued pursuant to Section 2) after the date of the Warrant. Additional Common Shares does not include, however, any common stock issued in a transaction described in Sections 2.1 and 2.2 of the Warrant; any common stock Issued upon conversion of preferred stock outstanding on the date of the Warrant; the Shares; or common stock Issued as incentive or in a nonfinancing transaction to employees, officers, directors, or consultants to the Company.

  • Additional Common Stock herein shall mean in the most broadest sense all shares of Common Stock hereafter issued by the Borrower (including, but not limited to Common Stock held in the treasury of the Borrower and common stock purchasable via derivative security or option on the date of such grant ), except Common Stock issued upon the conversion of any of this Convertible Note or Warrant.

  • Reserved Shares means initially, [ ] Shares. The Reserved Shares may be increased or decreased in a Supplemental Confirmation.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

  • Plan Shares means the total number of Common Shares which may be reserved for issuance as Optioned Shares under the Plan as provided in §2.2;

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."

  • DSUs means the outstanding deferred share units issued under the DSU Plan.

  • Maximum Potential Additional Dividend Liability, as of any Valuation Date, means the aggregate amount of Additional Dividends that would be due if the Corporation were to make Retroactive Taxable Allocations, with respect to any fiscal year, estimated based upon dividends paid and the amount of undistributed realized net capital gains and other taxable income earned by the Corporation, as of the end of the calendar month immediately preceding such Valuation Date and assuming such Additional Dividends are fully taxable.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Non-Election Shares shall have the meaning set forth in Section 3.2.1.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Bonus Shares means Shares that are awarded to a Grantee without cost and without restrictions in recognition of past performance (whether determined by reference to another employee benefit plan of the Company or otherwise) or as an incentive to become an employee of the Company or a Subsidiary.

  • Pre-Funded Warrant Shares means the shares of Common Stock issuable upon exercise of the Pre-Funded Warrants.

  • Optioned Shares means Shares subject to an Award granted pursuant to this Plan.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.
