Actual Exercise Date definition

Actual Exercise Date means the Exercise Date (in the case of European Style Warrants) or, subject to Condition 6(A)(ii), the date during the Exercise Period on which the Warrant is actually or is deemed exercised (in the case of American Style Warrants (as more fully set out in Condition 4(A)(i)));

Actual Exercise Date means, in respect of Exercisable Certificates and Warrants, the Exercise Date (in the case of European Style W&C Securities), or, subject to Condition 22.09 (B), the date during the Exercise Period on which the Exercisable Certificate or Warrant is actually or is deemed exercised (in the case of American Style W&C Securities) (as more fully set out in Condition 21.01) or the date on which the Exercisable Certificate or Warrant is actually or is deemed exercised (in the case of Open-Ended W&C Securities).

Actual Exercise Date means the Exercise Date (in the case of European Style Products) or, in the case of American Style Products as more fully set out in Condition 4(A)(i) below, the date during the Exercise Period on which the Product is actually or deemed exercised (in accordance with Condition 6(A)(ii) below);

Examples of Actual Exercise Date in a sentence

• Immediately after the date of their allotment, the Exercise Shares shall be equal in all respects to the ordinary shares in the Company's capital, and shall entitle their holders to the full dividends, in cash or in a stock dividend, and to any other distribution, the effective date for the right to receive which is the Actual Exercise Date.

• In the event that prior to the Actual Exercise Date, the Company's ordinary shareholders shall be made a rights offering of rights to purchase any securities, the number of shares that shall derive from exercising the Warrants shall be adjusted to the bonus component in the aforesaid rights as it is reflected in the ratio between the closing rate determined in the AMEX with respect to the Company's share on the effective date and between the ex-rights base rate.

• The Company shall act with respect to allotting the Exercise Shares as follows: within three (3) business days after the Actual Exercise Date, the Company shall allot the Exercise Shares, by a share certificate or as an electronic share in the DWAC system.

• In the event that prior to the Actual Exercise Date, the Company shall pay dividends to its shareholders, then immediately after the effective date for the right to receive a dividend in cash, the Exercise Price of the Warrants in circulation shall be adjusted by multiplying it by the ratio between the ex-dividend base rate and between the closing rate determined on AMEX for the Company's share on the effective date for the entitlement to receive the dividend.

More Definitions of Actual Exercise Date

Actual Exercise Date means subject to Condition 4.5, the date on which a valid Exercise Notice is received or deemed under Condition 5 to be received;

Actual Exercise Date for a Warrant shall mean (i) the Business Day on which the Warrant Agent receives the Warrant and Exercise Notice in proper form with respect to such Warrant, if received at or prior to 3:00 p.m., New York City time, on such day, or (ii) if the Warrant Agent receives such Warrant and Exercise Notice after 3:00 p.m., New York City time, on a Business Day, then the Business Day next succeeding such Business Day. Affiliate: The term “Affiliate,” with respect to any specified Person shall mean any other Person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified Person. For the purposes of this definition, “control” when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; and the terms “controlling” and “controlled” have meanings correlative to the foregoing. Actual Exercise Date means an Eligible Exercise Date on which the conditions to exercise set out in Condition 6.4 (Exercise and cancellation procedure) are satisfied in full.

Actual Exercise Date means the date on which a valid Exercise Notice is received, or deemed to be received, by the Issuer under Condition 4 (Exercise of Warrants) or, in the case of Warrants which are the subject of Automatic Exercise, the Expiration Date, as the case may be;

Actual Exercise Date means (i) in the case of a European Style Warrant, the Exercise Date or (ii) in the case of an American Style Warrant or a Bermudan Style Warrant, the date during the Exercise Period on which the Warrant is actually exercised or is deemed to be exercised (as is more fully set out in, and subject to, Condition 3(a)).
