Acquisition Sublimit definition

Acquisition Sublimit has the meaning set forth in subsection 2.4B(ii)(d).
Acquisition Sublimit means at any time the Total Revolving Commitment at such time less $5,000,000.
Acquisition Sublimit means the $15 million portion of the Total Revolving Credit Commitment which may at any one time be borrowed for the purpose of making Permitted Acquisitions.

  • Except as permitted by the previous sentence, amounts in the Existing Holdings Senior Notes Redemption Sublimit or any Acquisition Sublimit may not be reborrowed.

  • If any court or administrative agency of competent jurisdiction determines that this Agreement violates any of such statutes or regulations, then the parties agree to take such actions in good faith as necessary to amend this Agreement to comply with the applicable statutes or regulations, as provided herein.

  • The Borrowers agree to pay to the Agent for the account of each Bank a facility fee (each, a "Facility Fee") in an amount not to exceed $67,500.00 each year (a twelve (12) month period beginning on the date of this Agreement and each twelve (12) month period thereafter) on the earlier of December 1 or that date on which the first Loan is made under the Acquisition Sublimit.

  • The Revolving Loans shall also be repaid with the net proceeds received from the disposition of the stock or assets of PMC in accordance with SECTION 10.8. Revolving Loans outstanding under the Primary Revolving Acquisition Sublimit must be repaid in full on the Business Day immediately preceding the Acquisition Availability Termination Date.

  • An amount equal to the Advance under the Acquisition Sublimit with respect to any Approved Acquisition shall again be available for readvance under the Acquisition Sublimit when no portion of the Advance for such Approved Acquisition remains outstanding under the Acquisition Sublimit.

More Definitions of Acquisition Sublimit

Acquisition Sublimit appearing in Section 10 of the Credit Agreement is hereby amended by inserting the word "Available" immediately following the word "Total" appearing in said Section.
Acquisition Sublimit means at any time $80,000,000 less the aggregate Scheduled RF Reductions required to have been made to and including such time.

  • Issuing Bank Sublimit means, as of the Effective Date, (i) $2,500,000, in the case of Chase and (ii) in the case of any other Issuing Bank, such amount as shall be designated to the Administrative Agent and the Borrower in writing by such Issuing Bank; provided that any Issuing Bank shall be permitted at any time to increase or reduce its Issuing Bank Sublimit upon providing five (5) days’ prior written notice thereof to the Administrative Agent and the Borrower.

  • Letter of Credit Sublimit means an amount equal to the lesser of (a) $100,000,000 and (b) the Aggregate Commitments. The Letter of Credit Sublimit is part of, and not in addition to, the Aggregate Commitments.

  • Alternative Currency Sublimit means an amount equal to the lesser of the Aggregate Revolving Commitments and $200,000,000. The Alternative Currency Sublimit is part of, and not in addition to, the Aggregate Revolving Commitments.

  • Maximum line current means the root-mean-square current in the supply line of an x-ray machine operating at its maximum rating.

  • Swingline Committed Amount means the amount of the Swingline Lender’s Swingline Commitment as specified in Section 2.4(a).

  • Swing Line Commitment the obligation of the Swing Line Lender to make Swing Line Loans pursuant to Section 2.6 in an aggregate principal amount at any one time outstanding not to exceed $10,000,000.

  • Swingline Commitment the obligation of the Swingline Lender to make Swingline Loans pursuant to Section 2.6 in an aggregate principal amount at any one time outstanding not to exceed $10,000,000.

  • Borrowing Limit has the meaning set forth in Section 1.1(a)(i).

  • Foreign Currency Sublimit means $100,000,000.

  • Swing Line Availability has the meaning ascribed to it in Section 1.1(c)(i).

  • Committed Amount shall have the meaning assigned thereto in the Pricing Side Letter.

  • Canadian Commitment means the obligation of the Canadian Lender to (a) make Canadian Loans to the Canadian Borrowers and (b) issue Canadian Letters of Credit for the account of the Canadian Borrowers pursuant to Section 2.03, in an aggregate principal amount at any one time outstanding not to exceed C$15,000,000, as such amount may be adjusted from time to time in accordance with this Agreement.

  • Aggregate Cash Consideration has the meaning set forth in Section 3.01(b)(ii).

  • Aggregate Credit Exposures means, at any time, the sum of (a) the unused portion of each Revolving Credit Commitment then in effect, (b) the unused portion of each Term Commitment then in effect and (c) the Total Outstandings at such time.

  • Aggregate Credit Exposure means, at any time, the aggregate Credit Exposure of all the Lenders at such time.

  • Total Commitment means, at any time, the sum of the Commitments of each of the Lenders at such time.

  • Total Revolving Credit Outstandings means the aggregate Outstanding Amount of all Revolving Credit Loans, Swing Line Loans and L/C Obligations.

  • Refunded Swing Line Loans as defined in Section 2.3(b)(iv).

  • Revolving Credit Availability means, at any particular time, the amount by which (x) the Aggregate Revolving Loan Commitment at such time exceeds (y) the Dollar Amount of the Revolving Credit Obligations outstanding at such time.

  • Swing Line Outstandings means, as of any date of determination, the aggregate principal amount of all Swing Line Loans then outstanding.
