Acquisition Analysis definition

Acquisition Analysis means, with respect to any proposed Acquisition, an analysis, prepared by the chief financial officer of the Borrower, of the structure and financial impact of the Acquisition in question, including the Target's audited financial statements (or other financial statements acceptable to the Agent) for the last three fiscal years (two fiscal years, in the case of the Oasis Acquisition) and a summary of the material tax and accounting consequences related to the Acquisition, which analysis shall be in form and substance satisfactory to the Agent.

Acquisition Analysis means, with respect to any proposed Acquisition, an analysis, prepared by the chief financial officer of the Borrower, of the structure and financial impact of the Acquisition in question, including, where the Permitted Acquisition Price is equal to or greater than Five Million Dollars ($5,000,000), the Target's audited financial statements (or where the Permitted Acquisition Price is less than $5,000,000 management prepared financial statements acceptable to the Agent in its sole discretion) for the last fiscal year and a summary of the material tax and accounting consequences related to the Acquisition, which analysis shall be in form and substance reasonably satisfactory to the Agent.
