Acquiror Indemnitees definition

Acquiror Indemnitees has the meaning set forth in Section 9.2.

Acquiror Indemnitees means Acquiror, each member of the Acquiror Group and each of their respective successors and assigns, and all Persons who are or have been stockholders, directors, partners, managers, managing members, officers, agents, representatives or employees of any member of the Acquiror Group (in each case, in their respective capacities as such).

Acquiror Indemnitees shall have the respective meanings set forth in Section 10.1.

Examples of Acquiror Indemnitees in a sentence

• In the case of an Acquiror Indemnitee claim pursuant to Section 10.3(a) or Section 10.3(b), such notice must also include substantiation that the amount of all prior claims to which Acquiror Indemnitees would have been entitled to indemnification (but for time limits and amounts considerations) has exceeded $25 million.

• The Acquiror Indemnitees hereby, except as specifically reserved under this Article 10, (a) waive any remedies or claims that may be available under Environmental Laws relating to the subject matter of this Agreement, and (b) release Contributor from any claim, demand or liability with respect to any environmental matters relating to the subject matter of this Agreement, including any such claims arising under Environmental Laws.

• Acquiror Indemnitees shall not be entitled to make any claim under this Section 9.2(a) in respect of any matter to the extent that such matter has been taken into account as a liability or reduction to the final Closing Working Capital Balance determined in accordance with Section 2.6.

• Except with respect to Section 9.2(a)(iii), the aggregate liability of Weatherford to the Acquiror Indemnitees under Section 9.2(a) shall not exceed seventy-fifty percent (75%) of the Purchase Price.

• The Acquiror Indemnitees hereby, except as specifically reserved under this Article 9, (a) waive any remedies or claims that may be available under Environmental Laws relating to the subject matter of this Agreement, and (b) release Contributors from any claim, demand or liability with respect to any environmental matters relating to the subject matter of this Agreement, including any such claims arising under Environmental Laws.
