Acquired Shares definition

Acquired Shares has the meaning set forth in the Recitals.

Acquired Shares shall have the meaning as set forth in Section 2.2(b)(i).

Acquired Shares means all of such shares of Common Stock, together with any shares of stock or other securities issued in respect of or in replacement for such shares of Common Stock as a result of a corporate or other action such as a stock dividend, stock split, merger, consolidation, reorganization or recapitalization.

Examples of Acquired Shares in a sentence

• So long as the Subscriber holds any of the Acquired Shares, the Company shall not take any action which could be reasonably expected to result in the delisting or suspension of the Common Shares on an Eligible Market (unless the Company is the subject of a take-private transaction).

• In no event shall the liability of the Subscriber be greater in amount than the dollar amount of the net proceeds received by the Subscriber upon the sale of the Acquired Shares giving rise to such contribution obligation.

More Definitions of Acquired Shares

Acquired Shares means, with respect to the Participant, the shares of Common Stock purchased by the Participant pursuant to its Subscription Agreement.

Acquired Shares means, as of any date of determination, the Acquired Shares purchased by the Subscriber pursuant to this Subscription Agreement and any other equity security issued or issuable with respect to the Acquired Shares by way of share split, dividend, distribution, recapitalization, merger, exchange, replacement or similar event.
