So long as the Subscriber holds any of the Acquired Shares, the Company shall not take any action which could be reasonably expected to result in the delisting or suspension of the Common Shares on an Eligible Market (unless the Company is the subject of a take-private transaction).
In no event shall the liability of the Subscriber be greater in amount than the dollar amount of the net proceeds received by the Subscriber upon the sale of the Acquired Shares giving rise to such contribution obligation.
