Examples of Acquired Property in a sentence
Pursuant to the provisions of Section 3.1 hereof, the Transferor may require the Company to prepare and furnish Receiver’s Deeds, Omnibus Property Assignments, Receiver’s Quitclaim Deeds and other applicable Transfer Documents, for the Transferor’s approval, to convey the Receiver Acquired Property to an Ownership Entity.
The Servicer will not (i) place, or (ii) knowingly (including for this purpose any knowledge that the Servicer would have obtained if it had complied with the Servicing Standard) permit (voluntarily or involuntarily) to be placed, or to exist, any Lien on any of the Assets, the Collateral, the Asset Documents, or the Asset Proceeds, except for, in the case of Collateral or Acquired Property, such Permitted Liens as the Manager may permit from time to time.
The Company agrees to comply with all Obligations set forth in any Collateral Document relating to Acquired Property unless (subject in any event to Section 7.5 hereof), in the opinion of the Company, complying with the Obligations pursuant to such Collateral Documents would not be in the best interest (in terms of maximizing the value of the Asset) of the Company and the Initial Member.
For the avoidance of doubt, and without limitation of clause (g) of the preceding sentence, it is understood and agreed that the Transferor will not have any obligation pursuant to Section 6.1 to repurchase any Acquired Property that, as of the Closing Date, constituted Collateral (and was not Acquired Property).
This Agreement will terminate upon (a) the final payment or other liquidation of all of the Assets (including all Acquired Property), (b) the release and delivery to the Company or the PMN Agent of all Custodial Documents held by or in the possession of the Custodian in accordance with the terms of this Agreement and (c) the disbursement in accordance with the terms of this Agreement of all of the funds and financial assets on deposit in all of the Accounts.
