Acquired Operations definition

Acquired Operations shall have the meaning set forth in the Recitals.
Acquired Operations means collectively LSE, defined infra, the Page Printing Division acquired from Miltope Business Products, Inc., certain operations relating to Xerox printer maintenance acquired from BancTec, Inc. and the assets acquired from Laser Printing Services, Inc.

Acquired Operations shall have the meaning set forth in Section 2.1.
Acquired Operations as defined in Section 4.14(b). Affiliate: of a Person means a Person that directly or indirectly through one or more intermediaries, controls, is controlled by, or is under common control with, the first Person. "Control" (including the terms "controlled by" and "under common control with") means the possession, directly or indirectly, of the power to direct or cause the direction of the management policies of a Person, whether through the ownership of voting securities, by contract or credit arrangement, as trustee or executor, or otherwise. Agreement: this Stock Purchase Agreement, including the Schedules and Exhibits hereto, as the same may be amended from time to time. Ancillary Documents: Transition Services Agreement and any certificates, instruments, agreements, and other documents contemplated by this Agreement. Allocation Agreement: as defined in Section 4.10(e)(iv).
Acquired Operations means the test and process engineering, manufacturing, assembly and distribution operations conducted at the Facility purchased pursuant to this Agreement, including the Acquired Assets and the Assumed Liabilities.
Acquired Operations has the meaning set forth in the U.S. Purchase Agreement.
Acquired Operations means operations of the Company and its Consolidated Subsidiaries with respect to (i) a Health Care Facility as to which the Company and its Consolidated Subsidiaries acquires ownership, a leasehold interest or the right to manage such facility after September 30, 1996, or (ii) any other business(es) acquired pursuant to a Permitted Acquisition.

Related to Acquired Operations

  • Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

  • Business operations means engaging in commerce in any form, including by acquiring, developing, maintaining, owning, selling, possessing, leasing, or operating equipment, facilities, personnel, products, services, personal property, real property, or any other apparatus of business or commerce.

  • Acquired Business means the entity or assets acquired by the Borrower or a Subsidiary in an Acquisition, whether before or after the date hereof.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Operations means all the activities conducted by PURCHASER under this contract, including project work, logging, or post harvest activities; or the furnishing of all materials, equipment, labor, and incidentals necessary to successfully complete any individual item or the entire contract.

  • Discontinued Operations means operations that are accounted for as discontinued operations pursuant to Applicable GAAP of the Issuer for which the Disposal of such assets has not yet occurred.

  • Petroleum Operations means, as the context may require, Exploration Operations, Development Operations or Production Operations or any combination of two or more of such operations, including construction, operation and maintenance of all necessary facilities, plugging and abandonment of Xxxxx, safety, environmental protection, transportation, storage, sale or disposition of Petroleum to the Delivery Point, Site Restoration and any or all other incidental operations or activities as may be necessary.

  • Licensed Operator : means any person who holds a licence granted and in force under the Law;

  • Covered Business means (A) during the term, any business in which the Company is engaged and (B) after the Term, any business in which the Company was engaged as of the end of the Term.

  • Exploration Operations means operations conducted in the Contract Area pursuant to this Contract in searching for Petroleum and in the course of an Appraisal Programme and shall include but not be limited to aerial, geological, geophysical, geochemical, palaeontological, palynological, topographical and seismic surveys, analysis, studies and their interpretation, investigations relating to the subsurface geology including structural test drilling, stratigraphic test drilling, drilling of Exploration Xxxxx and Appraisal Xxxxx and other related activities such as surveying, drill site preparation and all work necessarily connected therewith that is conducted in connection with Petroleum exploration.
