Acquired Equity Interests definition

Acquired Equity Interests has the meaning set forth in Section 2.1(a).
Acquired Equity Interests means (a) 100% of the Equity Interests in each Company other than Cameron Highway Pipeline I, L.P., a Delaware limited partnership; and (b) 100% of the Equity Interests representing limited partnership interests in Cameron Highway Pipeline I, L.P., a Delaware limited partnership.
Acquired Equity Interests shall have the meaning ascribed to it in the Recital.

Examples of Acquired Equity Interests in a sentence

  • There is no action, suit or proceeding pending or known to Owner to be threatened against or affecting any Acquired Equity Interests or Owner Entity in any court, before any arbitrator or before or by any Governmental Authority, except as set forth on Schedule 3.2(f).

More Definitions of Acquired Equity Interests

Acquired Equity Interests shall have the meaning set forth in Section 2.1.
Acquired Equity Interests means all of the outstanding Equity Interests in the Acquired Companies.
Acquired Equity Interests means, collectively, all of the issued and outstanding equity interests of the Acquired Companies, which are set forth on Section 9.02(b) of the Seller Parent Disclosure Letter.
Acquired Equity Interests means the Equity Interests in the Owner Entities described on Exhibit B, some of which are being transferred to Operating Partnership or its designee(s) as part of the Sale Transaction and some of which are being contributed to Operating Partnership or its designee(s) as part of the Contribution Transaction, as more particularly described on Exhibit B, provided that if any portion of the Acquired Equity Interests comprising a part of the Contribution Transaction are to be transferred to a designee of the Operating Partnership, such designee must be a disregarded entity for tax purposes.
Acquired Equity Interests means, collectively, the Blocker Shares and the S/T Group Interests held by AIV2, Mr. A. S., Ms.D. S., Mr. J. H., Ms. S. S., Mr. C. H., Mr. R. I. and Golub LLC. “Acquisition” has the meaning ascribed to such term in the Recitals.
