Acquired Company Shares definition

Acquired Company Shares means all issued and outstanding shares of capital stock, membership interests or other equity securities of any Acquired Company.
Acquired Company Shares means (i) the envisionTEC Germany Shares (but excluding, for the avoidance of doubt, the German Treasury Shares) and (ii) all of the issued and outstanding shares of capital stock in envisionTEC, Gulf and 3dbotics.
Acquired Company Shares has the meaning set forth in the recitals of this Agreement.

Examples of Acquired Company Shares in a sentence

  • For the avoidance of doubt, all Acquired Company Assets shall constitute Acquired Assets hereunder by virtue of the Purchaser’s acquisition of the Acquired Company Shares.

  • For the avoidance of doubt, all Liabilities of the Acquired Company, other than Liabilities for Excluded Taxes, shall constitute Assumed Liabilities by virtue of the Purchaser’s acquisition of the Acquired Company Shares.

  • The Purchaser understands and agrees that all other Assets of the Sellers and their Affiliates that are not Separately Owned Acquired Assets, Acquired Company Assets or the Acquired Company Shares will be excluded from the Acquired Assets and the Contemplated Transactions and will be retained by the Seller Group (collectively, the “Excluded Assets”).


More Definitions of Acquired Company Shares

Acquired Company Shares means all of the issued and outstanding equity securities of the Acquired Company.
Acquired Company Shares means the number of shares of the Acquired Company immediately prior to completion of the Merger;
Acquired Company Shares means such of the shares in the Acquired Companies as are held by any member of the RBS Holdings Group or in which any member of the RBS Holdings Group is interested;
Acquired Company Shares means such of the shares in the Acquired Companies as are held by any member of the ABN AMRO Group or in which any member of the ABN AMRO Group is interested;
Acquired Company Shares means the Brazil Shares and the Mexico Shares.
Acquired Company Shares means all of the outstanding capital stock of each Acquired Company denoted on Exhibit L as having its equity transferred to the Purchaser Group by a member of the Seller Group in connection with the Contemplated Transactions.
Acquired Company Shares means the Acquired Parent Shares and/or the shares of capital stock or other ownership interests of the other Acquired Companies identified on Appendix A as the “Acquired Company Shares” as the context indicates.
