Examples of Accepted Forecast in a sentence
The quantities indicated in a Purchase Order will be for no less than [***] on a minimum-take-or-pay basis (the “Minimum Order”), and no more than [***] (the “Maximum Order”), of the Accepted Forecast for that calendar month.
Notwithstanding the foregoing, Supplier shall accept all Purchase Orders which do not exceed the volume set forth in any Accepted Forecast (provided that such Purchase Order includes all other terms consistent with this Agreement).
In the case of a Product discontinuance based upon notification from Buyer as provided in (i) above, the Buyer will complete such repurchase in accordance with the schedule set forth in the then-current Accepted Forecast.
Notwithstanding the foregoing, if any Purchase Order for a Product exceeds 100% of the most recent Accepted Forecast for such Product provided by ISB to Supplier (such excess, the “Excess Product Volume”), (i) Supplier will use commercially reasonably efforts to deliver such Excess Product Volume by the Delivery Date for such Product specified in such Purchase Order subject to the applicable Material Lead-Times.

Such binding purchase order shall specify at least the minimum number of Products specified in Year 2 of the Accepted Forecast agreed for the preceding year and be for no less than any applicable Minimum Purchasing Obligation for the next calendar year.
Without limiting the generality of the foregoing, at a minimum, Supplier will establish and maintain a supply chain that can accommodate at least a 100% of the quantity of Products included in any Accepted Forecast.
A Product shall be deemed "discontinued" for purposes of this Section 2.7 at the time (i) Buyer notifies Seller in writing that such Product is being discontinued by Buyer or (ii) upon notice by Seller to Buyer, if Buyer's purchases of such Product during the preceding Calendar Year were less than 50% of the amount provided in the last Accepted Forecast for such Product for the preceding Calendar Year.
Supplier shall use commercially reasonable efforts to meet or exceed its manufacturing lead time for the number of units included in any Accepted Forecast.
If Supplier is unable, or anticipates that it will be unable, to supply the quantities of Products included in any Accepted Forecast (a “Shortage of Supply”), Supplier will promptly notify ISB in writing of such Shortage of Supply and provide ISB with its best estimate of the duration of such Shortage of Supply.
