Acceptance of Assignment. Subject to the terms hereof the Lessor accepts the assignment contained in this Section 2.
Acceptance of Assignment. Assignee accepts the foregoing assignment of the Lease [insofar (and only insofar) as the Lease pertains to the Assigned Premises] and covenants with Assignor, from and after the Effective Date, to pay all rent and other charges provided for in the Lease, as amended and to perform and observe all of the other covenants, conditions and provisions in the Lease, as amended, to be performed or observed by or on the part of Assignor as tenant under the Lease [in respect of the Assigned Premises].

From and after the Distribution Date, Donnelley Financial hereby irrevocably, absolutely and unconditionally assumes, undertakes and agrees to pay, perform and discharge in full any and all claims and obligations arising under and/or in connection with the Severance Agreement.

Acceptance of Assignment. Subject to the provisions of Paragraph 3 below, the L'Auberge Venturer hereby accepts such assignment and assumes and agrees to perform and discharge all joint venture partnership obligations of the Assigning Venturer with respect to the Interest as set forth in the Joint Venture Agreement arising from and after the date hereof.
