Acceptance Certificates definition

Acceptance Certificates means the collective reference to the Factory Test Certificate, the Initial PCS System Certificate, the Substantial Completion Certificate and the Final Acceptance Completion Certificate.
Acceptance Certificates means all or some of such certificates;
Acceptance Certificates those written certificates provided by Reliance to the Vendor evidencing Reliance’s Acceptance of the Products, Services and the Initial Broadband Access Reliance Network or the Broadband Access Reliance Network or any relevant portion thereof pursuant to and in accordance with the Specifications and the Performance Criteria. With respect to Expansions, Reliance shall provide Vendor with Acceptance Certificates once every calendar month setting forth the Products that have achieved Acceptance during the preceding calendar month.

  • Upon return of the Aircraft in accordance with the terms of this Lease, LESSEE will prepare and execute two (2) Return Acceptance Certificates in the form and substance of Exhibit I and LESSOR will countersign and return one such Return Acceptance Certificate to LESSEE.

  • This Lease, the Equipment Schedules and any Delivery and Acceptance Certificates executed by the parties, constitute the entire agreement between the parties with respect to the subject matter hereof and shall not be amended or altered in any manner except by a document in writing executed by both parties.

  • For its convenience and at its option, Lessee may accept Equipment and Financed Items by electronic mail in accordance with this paragraph, in lieu of the execution and physical delivery of Acceptance Certificates provided for in paragraph (a) above.

  • The Lease Rate Factors set forth in a Leaseline assume: (a) all Acceptance Dates occur within the Acquisition Period; (b) Lessor receives all Acceptance Certificates within 15 days of the end of the Acquisition Period; and (c) Soft Costs do not exceed 35% of the total Lessor’s Basis (or such other limiting percentage as may be specified in the Leaseline, as the case may be, “Maximum Soft Cost Percentage”).

  • Lessor will purchase from Seller, for lease to Lessee, the items shown in the Acceptance Certificates if: (a) the items specified are Qualifying Equipment, or Nonqualifying Equipment or Soft Cost items Lessor determines in its sole discretion to lease; and (b) the invoice is issued in the name of Lessor, or in the name of Lessee and Lessee and Seller have executed an assignment relating thereto acceptable to Lessor.

  • Deliver to Administrative Agent copies of all Acceptance Certificates (as defined in the Turbine Supply Agreement) within ninety (90) days after Final Completion.

  • Any reference herein to a "Lease" shall mean any Equipment Schedule, as it incorporates by reference all the terms and conditions of this Lease Agreement, the Acceptance Certificates, and any Exhibits, Riders, Supplements, amendments, or addendum thereto, if any.

  • The Master Lease and all Lease Schedules, Acceptance Certificates, exhibits, riders, amendments and addenda thereto are collectively referred to as the "LEASE".

Acceptance Certificates means the acceptance certificates issued by the Insured Debtor acknowledging receipt of the Delivery of the Goods and/or the rendering of the Services pursuant to which the Insured Debtor requests a Drawdown as envisaged in the Insured Contract;
Acceptance Certificates means, individually or collectively, as the case may be, the CIP Acceptance Certificates and the REP Acceptance Certificates.

  • Class CE Certificate Any one of the Class CE Certificates executed, authenticated and delivered by the Trustee, substantially in the form annexed hereto as Exhibit A-7 and evidencing a Regular Interest in REMIC VI for purposes of the REMIC Provisions.

  • Master Servicer Certification A written certification covering servicing of the Mortgage Loans by all Servicers and signed by an officer of the Master Servicer that complies with (i) the Xxxxxxxx-Xxxxx Act of 2002, as amended from time to time, and (ii) the February 21, 2003 Statement by the Staff of the Division of Corporation Finance of the Securities and Exchange Commission Regarding Compliance by Asset-Backed Issuers with Exchange Act Rules 13a-14 and 15d-14, as in effect from time to time; provided that if, after the Closing Date (a) the Xxxxxxxx-Xxxxx Act of 2002 is amended, (b) the Statement referred to in clause (ii) is modified or superceded by any subsequent statement, rule or regulation of the Securities and Exchange Commission or any statement of a division thereof, or (c) any future releases, rules and regulations are published by the Securities and Exchange Commission from time to time pursuant to the Xxxxxxxx-Xxxxx Act of 2002, which in any such case affects the form or substance of the required certification and results in the required certification being, in the reasonable judgment of the Master Servicer, materially more onerous than the form of the required certification as of the Closing Date, the Master Servicer Certification shall be as agreed to by the Master Servicer, the Depositor and the Seller following a negotiation in good faith to determine how to comply with any such new requirements.

  • Pro Forma Compliance Certificate means a certificate of a Responsible Officer of the Borrower containing reasonably detailed calculations of the financial covenants set forth in Section 7.11 recomputed as of the end of the period of the four fiscal quarters most recently ended for which the Borrower has delivered financial statements pursuant to Section 6.01(a) or (b) after giving effect to the applicable transaction on a Pro Forma Basis.

  • Back-Up Certification As defined in Section 3.18(k).

  • Final delivery certificate means the document issued by the COE confirming that all the known defects have been rectified and that the works, goods or services appear in good order and have been accepted;

  • Group 3 Certificates As specified in the Preliminary Statement.

  • Officer’s Compliance Certificate means a certificate of the chief financial officer or the treasurer of the Borrower substantially in the form attached as Exhibit F.

  • Closing Date Certificate means a Closing Date Certificate substantially in the form of Exhibit G-1.
