Accelerated Shares definition

Accelerated Shares means those shares of the Company’s common stock granted by the Company to the Executive as compensation for services that would have been forfeited in the event that the Executive’s employment with the Company had been terminated by the Company for Cause in accordance with Section 11(c) below.

Examples of Accelerated Shares in a sentence

  • Upon the earlier of (i) the Resignation Date or (ii) April 30, 2006, Executive shall have six (6) months to exercise all Option Agreement 3 Accelerated Shares and other vested shares.

  • The Accelerated Shares will be issued promptly following the date of your death, disability or termination.

  • You agree that the Company may sell enough of the Accelerated Shares to cover the tax liabilities due on the vesting of the Accelerated Shares in order to remit the taxes due on your behalf.

  • Employee hereby accepts the acceleration of the Accelerated Shares in substitution for any cash severance payment to which he may be entitled under the EA unless otherwise provided herein.

Related to Accelerated Shares

  • Unvested Shares means "Unvested Shares" as defined in the Award Agreement.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Vesting mean that the Units have become non-forfeitable. If Employee has a Termination of Employment prior to the Stated Vesting Date and the Units are not otherwise deemed vested by that date, the Units will be immediately forfeited except as otherwise provided in Section 4 of the Terms and Conditions.

  • RSUs means that number of Restricted Stock Units listed in the Award Notice as “Restricted Stock Units Granted.”

  • DSUs means the deferred share units granted under the DSU Plan;

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Award Shares means Shares covered by an outstanding Award or purchased under an Award.

  • Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Article 7.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Unvested Units means any Executive Units which are not Vested Units.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.

  • Stock Grant means the grant of shares of Stock not subject to restrictions or other forfeiture conditions.

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.

  • Vesting Period means the period of time specified by the Committee during which vesting restrictions for an Award are applicable.

  • Stock Grant Agreement means the agreement between the Company and a Grantee who is awarded Shares under the Plan that contains the terms, conditions and restrictions pertaining to the award of such Shares.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Performance Units means an Award which may be earned in whole or in part upon attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • PSUs means the outstanding performance share units governed by the performance share unit plan of the Company dated December 16, 2013, as amended from time to time;

  • Restricted Share Unit Award means a right to receive Ordinary Shares which is granted pursuant to the terms and conditions of Section 6(b).
