Abatement Amount definition

Abatement Amount with respect to any Abatement Period, an amount equal to (i) any installment(s) of Basic Rent, and any fraction thereof, accruing pursuant to the Equipment Schedule covering the item of Equipment having suffered an Impairment of Use, multiplied by (ii) a fraction having (x) a ---------- numerator equal to the amount of Total Invoice Cost allocable to such item of Equipment, and (y) a denominator equal to the Total Invoice Cost of all of the items of Equipment then being leased to Lessee under such Equipment Schedule.
Abatement Amount means each abatement amount set out in Item 3 of Schedule 1.
Abatement Amount means, with respect to any event described in this Lease which provides for an abatement of Base Rent (or a proportionate reduction in Base Rent following a partial termination of this Lease) payable by Tenant under this Lease (herein, an “Abatement Event”), an amount equal to the Base Rent payable under this Lease with respect to the Units rendered untenantable by the Abatement Event minus the amount of any business interruption insurance proceeds received by Tenant with respect to the sublease rent payable to Tenant for such affected Units on account of such Abatement Event. For purposes of determining the amount of Base Rent that will axxxx following an Abatement Event, Base Rent shall be allocated entirely to the Units and not the common areas or any other areas of the Premises, and the Abatement Amount shall be determined based upon the total number of Units affected, as compared to the total number of Units at the Premises.

  • The Rent Abatement Amount is subject to the following: The parties agree to work cooperatively and in good faith to apply for and obtain a loan to Landlord and/or a tax increment incentive from the Redevelopment Agency of Salt Lake City in an amount equal to or greater than the Rent Abatement Amount (the “City Incentive”) upon terms that are otherwise reasonably acceptable to Landlord (and Tenant to the extent Tenant is a party to, or has obligations under, any agreement for the City Incentive).

  • Such present value shall be calculated (i) by using the portion of the Monthly Base Rental Abatement Amount then remaining as of the Payment Date (as though such remaining portion of the Monthly Base Rental Amount benefitted Tenant at the mid-way point between the Payment Date and the last day of the abatement period) and (ii) by using a discount rate of five percent (5%) per annum.

  • As used herein, “Rent Abatement Payout Price” shall mean the present value of the Monthly Base Rental Abatement Amount then remaining during the Lease Term, as of the date of payment (“Payment Date”) by Landlord to Tenant of the Rent Abatement Payout Price by Landlord.

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.
