AART Indenture definition

AART Indenture. The AART Indenture, dated as of the Closing Date, between the Issuing Entity and the AART Indenture Trustee, as the same may be amended, supplemented or otherwise modified from time to time. AART Indenture Trustee: Citibank, N.A., a national banking association, not in its individual capacity but solely as trustee under the AART Indenture, or any successor under the AART Indenture. AART Owner Trustee: Deutsche Bank Trust Company Delaware, a Delaware banking corporation, not in its individual capacity but solely as trustee under the Trust Agreement, or any successor under the Trust Agreement.
AART Indenture. The AART Indenture, dated as of the Closing Date, between the Issuing Entity and the AART Indenture Trustee, as the same may be amended, supplemented or otherwise modified from time to time.

Examples of AART Indenture in a sentence

  • For all purposes of this Agreement, in the performance of its duties or obligations hereunder or in the performance of any duties or obligations of the Issuing Entity hereunder, the AART Indenture Trustee shall be subject to, and entitled to the benefits of, the terms and provisions of Article VI of the AART Indenture.

  • The Seller agrees to (i) perform the covenants set forth in Article XII of the AART Indenture applicable to it and (ii) facilitate compliance with Article XII of the AART Indenture by the Ally Parties.

  • For so long as the AART Indenture Trustee is the Person in whose name a Secured Note is registered, such account shall be the AART Collection Account.

  • No party relying upon an instrument executed by the AART Indenture Trustee as provided in this Article VIII shall be bound to ascertain the AART Indenture Trustee’s authority, inquire into the satisfaction of any conditions precedent or see to the application of any monies.

  • The AART Indenture Trustee shall not be bound to make any investigation into the facts or matters stated in any resolution, certificate, statement, instrument, opinion, report, notice, request direction, consent, order, bond, debenture, note, other evidence of indebtedness or other paper or document, but the AART Indenture Trustee, in its discretion, may make such further inquiry or investigation into such facts or matters as it may see fit.

  • The Notes shall, following notice of redemption as required by Section 10.2, on the Redemption Date cease to be Outstanding for purposes of this AART Indenture and shall thereafter represent only the right to receive the applicable Redemption Price and (unless the Issuing Entity shall default in the payment of such Redemption Price) no interest shall accrue on such Redemption Price for any period after the date to which accrued interest is calculated for purposes of calculating such Redemption Price.

  • Notice of redemption of the Notes shall be given by the AART Indenture Trustee in the name and at the expense of the Issuing Entity.

  • On or after the receipt by the Administrator of such written notice, all authority and power of the Administrator under this Agreement, whether with respect to the Notes, the Certificates or the Secured Notes or otherwise, shall pass to and be vested in the AART Indenture Trustee pursuant to and under this Section 7.02.

  • If the AART Indenture Trustee fails to comply with Section 6.11, any Noteholder may petition any court of competent jurisdiction for the removal of the AART Indenture Trustee and the appointment of a successor AART Indenture Trustee.

  • In no event shall the AART Indenture Trustee be liable for any damages in the nature of special, indirect or consequential damages, however styled, including lost profits, even if the AART Indenture Trustee has been advised of the likelihood of such loss or damage.

  • Second Lien Indenture means that certain indenture, dated as of October 20, 2016, among the Company, the guarantors from time to time party thereto and U.S. Bank National Association, as trustee and notes collateral agent, relating to the 9.5% Senior Secured Second Lien Notes due 2022 of the Company, as amended, supplemented, restated, converted, exchanged, replaced or modified from time to time;

  • Senior Note Indenture the Indenture entered into by Holdings, the Borrower and certain of its Subsidiaries in connection with the issuance of the Senior Notes, together with all instruments and other agreements entered into by Holdings, the Borrower or such Subsidiaries in connection therewith.

  • Base Indenture has the meaning provided in the recitals.

  • First Supplemental Indenture has the meaning specified in the recitals of this Supplemental Indenture.

  • Warrant Indenture means the warrant indenture to be entered into on the Closing Date between the Warrant Agent and the Company in relation to the Warrants, as amended from time to time; and
