AACS Keys definition

AACS Keys means, collectively, AACS Public Keys, Device Keys, Device Key Sets, MKBs, Media Keys, Sequence Keys, certificates, and all other cryptographic values referenced in the Specifications, other than Evaluation Keys, that are made available only by, or at the direction of and under license by, AACS LA. For clarification, Title Keys are not part of the definition of AACS Keys for the purpose of this Agreement; however requirements apply to the use and protection of Title Keys as otherwise provided in this Agreement and the Compliance and Robustness Rules.

  • The types of AACS Keys and the procedures applicable for their assignment, use and expiration are set forth in the Compliance Rules and this Section 10.

  • Prior to distributing AACS Keys to Adopter, AACS LA shall use reasonable care to verify, or cause its designee to use reasonable care to verify, that such Device Keys are correct.

  • AACS LA shall keep confidential, and not disclose to third parties, the fact that Adopter was issued erroneous AACS Keys, provided that AACS LA may disclose such information to the Founders without identifying Adopter, and provided further that AACS LA shall be relieved of such confidentiality obligation if Adopter makes such information publicly available or in any of the other circumstances described in Section 6.10.

  • AACS LA grants to Content Provider a nonexclusive, nontransferable (except as provided in Section 11.4), nonsublicensable, revocable, worldwide license under those trade secrets and copyrights embodied in the Specifications and AACS Keys to (i) reproduce, modify, display and distribute the Specifications internally, and (ii) use, reproduce, modify, distribute, display, perform or otherwise transfer Licensed Content Products.

  • In addition, in the event that one or more Fellow Adopters receives such an erroneous AACS Key, AACS LA shall make available to such Fellow Adopters, on a pass-through basis, the benefit of any ability that AACS LA has to recover for such Fellow Adopters’ losses from any third party key generator that makes such AACS Keys under contract with AACS LA.

  • Any portion of the Service Provider facilities capable of accessing MCS Private Keys or AACS Keys in usable form in Hardware shall include all of the characteristics set forth in Section 1 of this Exhibit E.

  • Service Provider is permitted to generate copies of MCS Private Keys or AACS Keys within a particular physical device or server, for performance reasons, and is permitted to create a backup copy of MCS Private Keys or AACS Keys for secure offline storage.

  • Authorized Reseller shall not, nor attempt to, discover, extract, reveal or disclose, for any purpose whatsoever, any AACS Keys which may be contained in Licensed Components or Licensed Products.

  • In the event such destroyed Licensed Components contained AACS Keys, Authorized Reseller shall provide AACS LA and Adopter the AACS Key numbers of such destroyed Licensed Components.

  • In addition, in the event that one or more Fellow Service Providers receives such an erroneous AACS Key, AACS LA shall make available to such Fellow Service Providers, on a pass-through basis, the benefit of any ability that AACS LA has to recover for such Fellow Service Providers’ losses from any third party key generator that makes such AACS Keys under contract with AACS LA.

  • Supplier Personnel means Supplier’s employees, consultants, agents, independent contractors and Subcontractors.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Target Companies means the Target and its Subsidiaries.

  • the Business means the usual work and activities carried on by the Insured pertaining to his business as specified in the Schedule and no others.

  • Honeywell has the meaning set forth in the preamble.

  • ECC means the amount calculated by Contractor for the total cost of all elements of the Work based on this Agreement available at the time(s) that the ECC is prepared. The ECC shall be based on current market rates with reasonable allowance for overhead, profit and price escalation and shall include and consider, without limitation, all alternates and contingencies, designed and specified by A/E and the cost of labor and materials necessary for installation of Owner furnished equipment. The ECC shall include all the cost elements included in the AACC, as defined above, and shall represent Contractor’s best current estimate of the Guaranteed Maximum Price it will propose for the Project based on the information then available. The ECC shall not include Contractor’s Pre-Construction Phase Fee, A/E’s Fees, the cost of the land and rights-of-way, or any other costs that are the direct responsibility of Owner.

  • Model 1 seller means a seller registered under the agreement that has selected a certified service provider as the seller's agent to perform all of the seller's sales and use tax functions for agreement sales and use taxes other than the seller's obligation under Section 59-12-124 to remit a tax on the seller's own purchases.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • ESI means Entergy Services, Inc.

  • Supplier Operations means all assets, processes and systems (including information systems), data (including Customer data), personnel, and sites, used or processed by Supplier from time to time in the performance of this Agreement.

  • Model 4 seller means a seller that is registered under the agreement and is not a model 1 seller, model 2 seller, or model 3 seller.

  • ACS means “asset-controlling supplier” as that term is defined in the Cap and Trade Regulations.

  • Principals or Key Personnel means and refers to those principals and key personnel of the Contractor, and its or their agents, as described in C.G.S. §§ 4-250(5) and 4-252(c)(1)(B) and (C).

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

  • Vendors means the proposer(s) responding to this RFP and vendor(s) to whom a contract has been awarded as a result of this RFP by SMSD. A responsible vendor is a vendor who has adequate financial resources (or the ability to obtain such resources), can comply with the delivery requirements, and is a qualified and established firm regularly engaged in the type of business that provides the product(s) /service(s) listed herein.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Consumables means where the context permits, Digital Print Consumables, Inkjet Printing System Consumables and Prepress Consumables.

  • Alarm business means the business by any individual, partnership, corporation, or other entity of selling, leasing, maintaining, servicing, repairing, altering, replacing, moving or installing any alarm system or causing to be sold, leased, maintained, serviced, repaired, altered, replaced, moved or installed any alarm system in or on any building, structure or facility.

  • Customer-generator means a user of a net metering system.

  • Acquired Entities means the Company and the Acquired Subsidiaries.

  • Supplier means the successful bidder who is awarded the contract to maintain and administer the required and specified service(s) to the State.

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • Key Sub-Contractor means any Sub-Contractor: listed in Framework Schedule 7 (Key Sub-Contractors); which, in the opinion of the Authority and the Customer, performs (or would perform if appointed) a critical role in the provision of all or any part of the Services; and/or with a Sub-Contract with a contract value which at the time of appointment exceeds (or would exceed if appointed) 10% of the aggregate Call Off Contract Charges forecast to be payable under this Call Off Contract;

  • Business Customer means a customer who is not a residential customer.

  • Vendor Personnel means employees, agents, independent contractors, or any other staff or personnel acting on behalf of or at the direction of Vendor or any Vendor Contractor performing or providing Services or Deliverables under this Agreement.
