THIS DEPOSIT PROCESSING SERVICES AGREEMENT (this "Agreement") is entered into as of this 12th day of July, 2013 ("Effective Date") by and between Customers Bank ("Bank"), a Member of the Federal Reserve System with its principal place of business at 99 Bridge St., Phoenixville, PA 19460, and Higher One, Inc. ("Higher One"), a Delaware corporation with its principal place of business at 115 Munson St., New Haven, Connecticut 06511.
