THIS DEFEASANCE PLEDGE AND SECURITY AGREEMENT (this “Agreement”) is dated as of May 9, 2006, by and among WINSTON SPE LLC, a Virginia limited liability company (“Pledgor”), WELLS FARGO BANK, N.A.
