This SECURITIES PURCHASE AGREEMENT, dated as of June 6, 2023 (this "Agreement") is entered into by and among Guyana Gold Corp., a Nevada Corporation and public company traded under the symbol GYGC on the OTC Pink (the "Company"), Alpharidge Capital, LLC. Of 370 Amapola Ave., Suite 200A, Torrance, CA 90501 (the "Seller"), and Simon Okeke of 220 Bowen way, Covington, GA, 30016, and StoneVest Mining of 15 Danube Street,Maitama, Abuja Nigeria (together referred to as “Purchaser”).
