This TERM LOAN CREDIT AGREEMENT is entered into as of December 16, 2016 among Everett SpinCo, Inc., a Delaware corporation, which is expected to reincorporate as a Nevada corporation in connection with the Transactions (as defined below) (the “Borrower”), the Lenders from time to time party hereto and The Bank of Tokyo-Mitsubishi UFJ, Ltd. (“BTMU”), as administrative agent (in such capacity, including any successor thereto, the “Administrative Agent”).
