This AMENDMENT NO. 1 TO CREDIT AGREEMENT, dated as of November 26, 2019 (together with all exhibits and schedules hereto, this “Amendment”), is entered into by and among Element Solutions Inc (f/k/a Platform Specialty Products Corporation), a Delaware corporation (“ESI”), MacDermid, Incorporated, a Connecticut corporation (“MacDermid” and, together with ESI, the “Borrowers”), certain subsidiaries of ESI party hereto, Barclays Bank PLC, as collateral agent and administrative agent (in such respective capacities, the “Collateral Agent” and the “Administrative Agent”; collectively, the “Agent”) and the Lenders party hereto. Capitalized terms used and not otherwise defined herein shall have the meanings assigned to them in the Credit Agreement (as defined below).
