This Master Services Agreement (this “Agreement”), dated February 23, 2023, is between Northern Lights Fund Trust III (the “Trust”), a Delaware statutory trust, and Ultimus Fund Solutions, LLC (“Ultimus”), a limited liability company organized under the laws of the state of Ohio.

THIS SECOND AMENDMENT TO CUSTODIAN AGREEMENT (this “Amendment”) is made as of February 23, 2023 by and between BROWN BROTHERS HARRIMAN & CO., a limited partnership organized under the laws of the State of New York (“BBH&Co.” or, when referring to BBH&Co. in its capacity as custodian, the “Custodian,”), and Northern LIghts fund TRUST iii (the “Trust”), an open-end management investment company organized under the laws of the State of Delaware and registered with the Securities and Exchange Commission under the Investment Company Act of 1940, on behalf of each of its Portfolios listed on Schedule A (List of Series / Portfolios) to the Agreement (as defined below).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 23rd day of February, 2023, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Rondure New World Fund and Rondure Overseas Fund (each a “Fund” and collectively, the “Funds”) series of the Trust, and the Advisor of the Funds, Rondure Global Advisors, LLC, a Delaware limited liability company (the “Advisor”).
