This CREDIT AGREEMENT (this "Agreement") dated as of [___], among NORTHSTAR REALTY FINANCE CORP, a Maryland corporation ("Borrower"), the Lenders from time to time a party hereto and UBS AG, STAMFORD BRANCH, as administrative agent (in such capacity, "Administrative Agent") for the Lenders.
