This STOCKHOLDER RIGHTS AGREEMENT, dated as of April 22, 2020 (this “Agreement”), is by and between Patterson-UTI Energy, a Delaware corporation (the “Company”), and Continental Stock Transfer & Trust Company as rights agent (the “Rights Agent”).
