THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) dated as of November 22, 2013, is made by and between Congaree Bancshares, Inc., a South Carolina corporation (the “Company”), which is the holding company for Congaree State Bank, a South Carolina state bank (the “Bank”), and Charles A. Kirby, an individual resident of South Carolina (the “Executive”), and amends and restates that certain employment agreement between the parties dated October 20, 2010. All references to the term “Employer” as used herein shall refer to the Company and the Bank.
