This Agreement and Plan of Merger (this “Agreement”) is made and entered into as of February 22, 2023 by and among VASCULAR BIOGENICS Ltd., an Israeli corporation (“Vibrant”), Vibrant Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of Vibrant (“Merger Sub”), and NOTABLE LABS, INC., a Delaware corporation (the “Company”).
