This CREDIT AGREEMENT is entered into as of December 18, 2013 among PHILLIPS EDISON GROCERY CENTER OPERATING PARTNERSHIP I, L.P., a Delaware limited partnership (the “Borrower”), PHILLIPS EDISON GROCERY CENTER REIT I, INC. (or its successors as permitted hereunder), the other Guarantors (defined herein), the Lenders (defined herein) and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.

This FIRST AMENDMENT to the SECOND AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF PHILLPS EDISON GROCERY CENTER OPERATING PARTNERSHIP I, L.P. (formerly Phillips Edison – ARC Shopping Center Operating Partnership, L.P.) (this “Amendment”) is made effective as of October 1, 2015 by Phillips Edison Grocery Center OP GP I, LLC, a Delaware limited liability company (formerly Phillips Edison Shopping Center OP GP, LLC, the “General Partner”). Capitalized terms used but not defined herein will have the meanings ascribed to such terms in the Partnership Agreement (as defined below).

This First Amendment (this “Amendment”) is made effective as of October 1, 2015, to the Advisory Agreement (the “Advisory Agreement”), dated December 3, 2014, by and among Phillips Edison Grocery Center REIT I, Inc., a Maryland corporation (formerly Phillips Edison – ARC Shopping Center REIT Inc., the “Company”), Phillips Edison Grocery Center Operating Partnership I, L.P., a Delaware limited partnership (formerly Phillips Edison – ARC Shopping Center Operating Partnership L.P., the “Partnership”), and Phillips Edison NTR LLC, a Delaware limited liability company (the “Advisor”). Capitalized terms used but not defined herein will have the meanings ascribed to such terms in the Advisory Agreement.
