THIS SECOND AMENDED AND RESTATED LOAN AGREEMENT (this “Agreement”) is made and entered into as of the 10th day of April, 2012 by and between (i) FRISCH'S RESTAURANTS, INC., an Ohio corporation (the “Borrower” ), and (ii) U.S. BANK NATIONAL ASSOCIATION, a national banking association formerly known as Firstar Bank, N.A. and Star Bank, National Association, and its successors and assigns (the “Bank”), and amends and restates the Amended and Restated Loan Agreement made and entered into as of October 21, 2010 by and between the Borrower and the Bank, as amended (the “Prior Loan Agreement”).

This Unrestricted Stock Agreement (the “Agreement”) is dated as of June 13, 2012 (the “Grant Date”), and is entered into between Frisch's Restaurants, Inc., an Ohio corporation (the “Company”), and Michael E. Conner(“Employee”). Capitalized terms not defined herein have the meaning given such terms in the Company's 2003 Stock Option and Incentive Plan (the “Plan”).
