This MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”), dated as of the 19th day of October 2023 (the “Effective Date”, is entered into by and among National Institute of Clinical Research, a California corporation (“Seller”) Dr. Sali Aswad, an individual residing in the State of California (the “Shareholder”), and Kingsway Search Xcelerator Inc., a Delaware corporation (“Buyer”).
