This Asset Purchase and Contribution Agreement (this “Agreement”) is entered into as of April 1, 2022 by and among (i) Go Fiber LLC, a Utah limited liability company (“Seller”); (ii) Kelly Nyberg, solely in his capacity as representative of the Seller (the “Seller Representative”); and (iii) FIF St. George, LLC, a Delaware limited liability company (the “Purchaser”).
