This FIRST AMENDMENT TO STOCKHOLDERS AGREEMENT (this “Amendment”) is entered into as of April 1, 2019, by and among Concrete Pumping Holdings, Inc., a Delaware corporation (the “Company”), and the undersigned parties listed on the signature pages hereto, and amends that certain Stockholders Agreement (the “Agreement”), dated December 6, 2018, by and among the Company and the Investors (as defined therein) parties thereto. Capitalized terms used in this Amendment and not defined herein have the meanings given to them in the Agreement.

Concrete Pumping Holdings, Inc., a Delaware corporation (the “Company”), plans to make offers (each such offer, as described in the Offer Materials (as defined below), together with the related Consent Solicitation (as defined below), an “Exchange Offer,” and all such offers and the related Consent Solicitations together, the “Exchange Offers”) for any and/or all of the Company’s outstanding warrants to purchase shares of common stock of the Company, par value $0.0001 per share (the “Common Stock”) at an exercise price of $11.50 per share (the “Warrants,” which consist of publicly traded warrants which were issued as warrants in connection with initial public offering of Industrea Acquisition Corp.
