THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into by and between WASHINGTON PRIME GROUP INC., an Indiana corporation (the “Company”), and ROBERT P. Demchak (the “Executive”), as of January 31, 2017, effective as of January 1, 2017 (the “Effective Date”) as an amendment and restatement of the Employment Agreement signed by the parties on June 3, 2014, as amended on each of August 25, 2015 and October 12, 2015 and amended and restated as of June 20, 2016 (the “Prior Agreement”).
