THIS CUSTODY AGREEMENT (this “Agreement”), is made as of November 14, 2019, by and between THE HERZFELD CARIBBEAN BASIN FUND, INC. a corporation organized under the laws of the State of Maryland (the "Company"), and FIFTH THIRD BANK, an Ohio banking corporation (the "Custodian").

This first amendment (the “Amendment”) is effective as of January 1, 2020, and amends the Master Services Agreement, dated September 30, 2019, between The Herzfeld Caribbean Basin Fund, Inc. (the “Fund”), and Ultimus Fund Solutions, LLC (“Ultimus”) (the “Agreement”).
