This Agreement dated as of the ___ day of _________, 2012, made by and between The Flex-funds (the "Trust"), a mutual fund organized as a business trust under the laws of the Commonwealth of Massachusetts acting for and on behalf of The Flex-funds® (the "Fund") which is operated and maintained by the Trust for the benefit of the holders of shares of the Fund, and Mutual Funds Service Co., an Ohio corporation ("Administrator").
