The parties to this Employment Agreement (the “Agreement") are John Stolte (the “Executive"), residing at 11860 Trailside Turn, Nokesville, Virginia 20181, and ORBCOMM Inc. (the “Company"), a company organized under the laws of Delaware, with offices located at 21700 Atlantic Boulevard, Dulles, Virginia 20166. Effective as of the Start Date (as defined below), this Agreement amends, restates and supersedes in its entirety the Employment Agreement between the Executive and the Company dated as of August 30, 2006 and effective as of June 1, 2006 (the “2006 Agreement”), except as otherwise provided in Section 8(b) below.

(the “Company"), a company organized under the laws of Delaware, with offices located at 2115 Linwood Avenue, Fort Lee, NJ 07024. Effective as of the Start Date (as defined below), this Agreement amends, restates and supersedes in its entirety the Employment Agreement between the Executive and the Company dated as of September 19, 2006 (the “2006 Agreement”), except as otherwise provided in Section 8(b) below.

(the “Company"), a company organized under the laws of Delaware, with offices located at 2115 Linwood Avenue, Fort Lee, NJ 07024 and 21700 Atlantic Boulevard, Dulles, Virginia 20166. Effective as of the Start Date (as defined below), this Agreement amends, restates and supersedes in its entirety the Employment Agreement between Mr. Eisenberg and the Company dated as of August 30, 2006 and effective as of June 1, 2006 (the “2006 Agreement”), except as otherwise provided in Section 8(b) below.
