THIS COMMON STOCK PURCHASE AGREEMENT (the “Agreement”) is made as of June 11, 2013 (the “Execution Date”) by and between Cytokinetics, Incorporated, a Delaware corporation (the “Company”), and Amgen Inc., a Delaware corporation (the “Investor”). All terms not defined herein shall have the meaning set forth for such terms in the Collaboration and Option Agreement, dated as of December 29, 2006 by and between the Company and the Investor, as amended on the date hereof (the “Collaboration Agreement”).
