THIS SERVICES AGREEMENT is made on July 15, 2020, by and among Emles Trust, the entity set forth on the signature page hereto (the “Client”), Citibank, N.A. (“Citibank”), and Citi Fund Services Ohio, Inc. (“CFSO”, together with Citibank, the “Service Provider” or “Citi” and, with the Client, the “Parties”). Emles Advisors LLC, the investment adviser to the Trust (the “Adviser”), is a party hereto with respect to Article 8 and clause 5.2.2 only. If more than one Client has signed this Agreement, this Agreement shall be considered a separate agreement between the Service Provider and each Client, and no Client shall be (i) liable for the obligations of any other Client or (ii) entitled to the benefits conferred under this Agreement on any other Client.

This AMENDMENT No.1 (“Amendment”) is made as of September 15, 2020, by and among Emles Trust (“Client”) and Citibank, N.A. (“Citibank”), and Citi Fund Services Ohio, Inc. (“CFSO”, together with Citibank, the “Service Provider” and, with the Client, the “Parties”), to that certain Services Agreement dated July 15, 2020, between the Client and Service Provider (“Agreement”).
