This Agreement is made as of January 1, 2013 by and among each management investment company identified on Appendix A hereto (each such management investment company and each management investment company made subject to this Agreement in accordance with Section 18.5 below, shall hereinafter be referred to as the “Fund”), and STATE STREET BANK and TRUST COMPANY, a Massachusetts trust company (the “Custodian”).

THIS AGREEMENT is made and effective as of the 1st day of January, 2013, by and between EACH OF THE ENTITIES, INDIVIDUALLY AND NOT JOINTLY as listed on Schedule A, having its principal office and place of business at 550 Science Drive, Madison, Wisconsin 53711 (collectively, the “Funds” and individually, the “Fund”) and BOSTON FINANCIAL DATA SERVICES, INC., a Massachusetts corporation having its principal office and place of business at 2000 Crown Colony Drive, Quincy, Massachusetts 02169-0953 (the “Transfer Agent”).
